All Company Directors are in the postion of Fiduciaries.At Common Law they are absolutely prohibited from compromising their duty of loyalty to the Company by entering into transactions with the Company which has relevance to their direct or indirect interests.

TIME
WHEN AS A CHILD I PLAYED AND SLEPT-TIME CREPT,
WHEN AS A YOUTH, I LAUGHED AND TALKED- TIME WALKED.
THEN WHEN I BECAME A MAN- TIME RAN
AND LATER STILL AS I OLDER GREW- TIME FLEW
AND SOON I SHALL FIND WHILE TRAVELLING ON-TIME GONE....
LOOKING BACK, WILL IT ALL BE WORTHWHILE BY THEN?[only this line is original]
